User Agreement for the Ansygo Service

English translation of the edition of 10 October 2026, which takes effect on 20 October 2026. Until 17 October 2026 the edition of 21 August 2026 applies, and from 17 to 20 October — the edition of 7 October 2026. This edition differs from the edition of 7 October only in the added clauses 1.7 and 3.4 (external participants of shared spaces), and the edition of 7 October differs from that of 21 August in clause 12.2. The original is in Ukrainian at https://ansygo.app/terms and prevails in the event of any discrepancy (clause 12.2).

This User Agreement (the “Agreement”) is a contract of adhesion within the meaning of Article 634 of the Civil Code of Ukraine between Maksym Yevhenovych Shcherbakov, individual entrepreneur, taxpayer registration number (RNOKPP) 3268319354 (the “Vendor”), and the person using the Service (the “Client”). By registering in the Service, activating access or using the Service in any way, the Client confirms that it has read the Agreement, fully understands it and accepts it unconditionally and in its entirety. If the Client does not agree to the terms of the Agreement, it has no right to use the Service.

1. Definitions

1.1. “Service” — the cloud software product (CRM system) “Ansygo”, access to which is provided over the Internet under the SaaS model. The Service’s website is https://ansygo.app; the marketing website is https://ansygo.com. The rights holder of the Service is the Vendor.

1.2. “Client Portal” — the Client’s dedicated account space within the Service, available at an individual address.

1.3. “Licence” — a non-exclusive right to access the Service and use it for its functional purpose during the paid term, within the limits of the relevant plan (number of users, storage volume, number of API requests, etc.).

1.4. “Price List” — the current plans, their prices, limits and feature sets, published by the Vendor on the Vendor’s websites.

1.5. “Partner” — a participant in the Vendor’s partner programme who supplies Licences to Clients in its own name or refers Clients to the Vendor.

1.6. “User” — a natural person to whom the Client has granted access to the Client Portal within the Licence (an employee or representative of the Client).

1.7. “External participant” — a natural person whom the Client has invited into the shared spaces of the Client Portal and who is not a User: they have access only to the shared spaces they have been added to and do not count towards the plan’s user limit.

2. Subject of the Agreement

2.1. The Vendor grants the Client a non-exclusive right to access the Service within an active Licence (or under the free plan or a demo period), and the Client undertakes to use the Service in accordance with this Agreement, the Price List and the applicable law of Ukraine.

2.2. A Licence may be purchased: (a) directly from the Vendor; (b) from a Partner — in which case the commercial terms (price, payment terms, documents) are governed by the contract between the Client and the Partner, while the terms of use of the Service are governed by this Agreement.

2.3. No proprietary intellectual property rights in the Service are transferred to the Client.

3. Registration and accounts

3.1. To use the Service, a Client Portal and an administrator (owner) account are created. The Client warrants that the information provided during registration is accurate and will be kept up to date.

3.2. The Client independently manages User access within the plan limit, is liable for the actions of Users in the Service as for its own, and must keep its credentials secure. The Client notifies the Vendor immediately of any unauthorised access.

3.3. Actions taken through the Client’s accounts are deemed to be the Client’s actions.

3.4. The Client independently decides whom to invite into the shared spaces of the Client Portal, manages the access of External participants and is liable for their actions in the Service in the same way as for the actions of Users (clause 3.2). Sections 5 and 6 of this Agreement apply to External participants and to the data they enter. The Vendor may set, in the Price List, limits on the number of External participants and the terms of charging for them, in the manner provided for in clause 4.1.

4. Price List, term, payment

4.1. The Service’s feature set and limits are determined by the plan of the active Licence in accordance with the Price List. The Vendor may change the Price List; changes do not apply to a Licence term that has already been paid for.

4.2. New Clients may be granted a demo period — 14 (fourteen) calendar days of free access at the level of the “Pro” plan. When the demo period ends, the portal is switched to the free plan unless a paid Licence has been activated.

4.3. Licences purchased directly from the Vendor are paid for in hryvnia by bank transfer against the Vendor’s invoice. The Licence is activated no later than 1 (one) business day from the day the payment is credited.

4.4. When the paid term of a Licence expires, the portal is automatically switched to the free plan: the Client’s data is retained, but features and limits are restricted to those of the free plan; records above the limits remain viewable, while creating new records above the limit is blocked. No data is deleted in the process.

4.5. The Licence term is extended by making a new payment (directly or through a Partner). Refunds are governed by the Refund Rules: https://ansygo.app/refund.

5. Acceptable use

5.1. The Client undertakes not to:

  • modify the Service or reverse-engineer it (decompile, disassemble), except where expressly permitted by law;
  • circumvent the technical restrictions of the Service or the plan limits;
  • copy, reproduce or distribute components of the Service, or give third parties access to the Service outside the scope of the Licence;
  • use the Service for mailings that violate the law (spam), for storing or distributing unlawful content or malicious software, or in any way that infringes the rights of third parties;
  • take actions aimed at disrupting the operation of the Service or gaining unauthorised access to other clients’ data;
  • alter or remove the Vendor’s copyright notices and trademarks.

5.2. The restrictions of clause 5.1 do not prevent the Client from providing third parties with the end results of using the Service (reports, documents, etc.).

6. Client data. Personal data

6.1. Data entered into the Client Portal by the Client and its Users belongs to the Client. The Vendor does not use the Client’s data for purposes unrelated to providing the Service.

6.2. Data is hosted and processed in secure infrastructure located in the European Union; regular backups are made.

6.3. With respect to personal data that the Client enters into the Service (the contacts of the Client’s own customers, etc.), the Client is the controller of the personal data, and the Vendor processes it on the Client’s instructions solely for the purpose of providing the Service, in accordance with the Law of Ukraine “On Personal Data Protection”. The Client warrants that it has a lawful basis for processing such data.

6.4. Personal data is processed in accordance with the Privacy Policy (https://ansygo.app/privacy). The procedure and time limits for deleting data, including after the Client stops using the Service, are set out in the Data Deletion Policy (https://ansygo.app/data-deletion). The Client is entitled to export its data in the manner provided for in those policies.

7. Availability, support, updates

7.1. The Vendor uses commercially reasonable efforts to keep the Service running without interruption. The Vendor may temporarily suspend access to the Service for maintenance, giving advance notice where possible.

7.2. Technical support is provided: to Partners’ Clients — by the Partner (first line) with the Vendor’s involvement (second line); to Clients who purchased the Licence directly from the Vendor — by the Vendor. Response times are set by the current Price List.

7.3. The Vendor may update and improve the Service (feature set, interface, technical characteristics) without separate approval, provided this does not materially degrade the consumer properties of a paid Licence. Updates are rolled out centrally and require no additional payment during the Licence term.

8. Intellectual property

8.1. All proprietary intellectual property rights in the Service, the software, databases, documentation and trademarks of the Vendor belong to the Vendor and are protected by the law of Ukraine, in particular the Law of Ukraine “On Copyright and Related Rights”.

9. Liability

9.1. The Service is provided “as is”. The Vendor does not guarantee absolutely uninterrupted or error-free operation of the Service, nor that the Service will meet any expectations of the Client not expressly set out in the Service documentation.

9.2. The Vendor’s aggregate liability to the Client is in any event limited to the amount actually paid for the Client’s Licence over the last 12 months (to the Vendor or to the Partner, as applicable). Indirect losses and lost profit are not recoverable.

9.3. The Vendor is not liable for inability to use the Service for reasons attributable to the Client or third parties (equipment, communication channels, actions of personnel, incompatible integrations), nor for the content of the data the Client places in the Service.

9.4. The Client is liable for breaches of this Agreement and must compensate the Vendor for documented losses caused by such a breach.

10. Suspension and termination of access

10.1. The Vendor may suspend or restrict access to the Client Portal in the event of a material breach of this Agreement by the Client (in particular of section 5) until the breach is remedied, with notice to the Client.

10.2. The Client may stop using the Service at any time. The procedure for retaining, exporting and deleting data after termination is set out in the Data Deletion Policy.

11. Amendments to the Agreement

11.1. The Vendor may amend this Agreement by publishing a new edition at https://ansygo.app/terms, with notice in the Service and/or by e-mail no later than 10 (ten) calendar days before the amendments take effect. Continued use of the Service after the amendments take effect constitutes the Client’s acceptance of them.

12. Governing law and disputes

12.1. The relations between the Parties are governed by the substantive law of Ukraine. Disputes are resolved by negotiation; a written claim is considered within 20 (twenty) calendar days. If no agreement is reached, the dispute is referred to a court in accordance with the rules of jurisdiction established by the law of Ukraine.

12.2. Language of the Agreement. This Agreement is drawn up in Ukrainian; the English translation is provided for convenience. In the event of any discrepancy between the Ukrainian and English versions, the Ukrainian version shall prevail.
